1. Contracting Entities

The Axiomnex entity with which you are contracting is determined by your billing country at the time of purchase:

Each Axiomnex entity is a separate legal entity. There is no cross-entity liability.

2. Scope of Services

2.1 What We Provide

AxiomLaunch provides ministerial filing assistance services only:

• Preparing formation documents based on information you provide
• Submitting documents to government agencies on your behalf
• Acting as Incorporator/Organizer (when authorized) for filing purposes only
• Retrieving and delivering government-issued documents
• Providing corporate template documents as self-help tools
• AI-powered business planning and analysis tools

2.2 What We Do NOT Provide

4. AI-Generated Content

Certain aspects of our services use artificial intelligence (AI) tools:

• AI outputs are probabilistic and may contain errors
• AI-generated recommendations are not legal, tax, or business advice
• You are responsible for verifying all AI-generated content before use
• Success probabilities and risk scores are estimates, not guarantees

5. Your Responsibilities

You are solely responsible for:

• Accuracy, completeness, and legality of all information you provide
• Ensuring you have the legal right to form the business entity
• Reviewing all documents before authorizing filing
• All post-formation compliance obligations
• Consulting with licensed professionals as needed

6. Fees and Payment

• Service Fees: Charged by Axiomnex for our services
• Government Fees: Set by government agencies, non-refundable once paid
• Third-Party Fees: Collected for external services, non-refundable once paid

7. Incorporator Role

When you authorize Axiomnex to act as Incorporator/Organizer:

• This role is ministerial only — limited to executing and filing documents
• Axiomnex has NO ownership interest, equity, or control in your business
• Axiomnex has NO fiduciary duty to your business
• Axiomnex automatically resigns upon formation
• All powers transfer to your initial directors/officers/members

8. Limitation of Liability

9. Indemnification

You agree to indemnify and hold harmless Axiomnex from any claims arising from: your use of services, your breach of these terms, inaccurate information you provided, your violation of any law, or your operation of the formed entity.

10. Governing Law

• Canadian Customers: Ontario and Federal Canadian law; Ontario courts have exclusive jurisdiction
• US/International Customers: Delaware law; Delaware courts have exclusive jurisdiction

11. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or website notice. Your continued use after changes constitutes acceptance. Changes do not apply retroactively to orders already placed.
